SEVERAL ENCOUNTERS,
ONE STORY

Following a joint pleading, Barthélemy Lemiale and Julien Vandromme decided to join forces to create a generational business law and litigation firm, with a new vision of the profession: precise and demanding, while remaining agile and committed to its clients.

One advises, while the other defends, the resolutely complementary duo imagines the contours of a "boutique" firm in tune with the world and the new digital tools that allow for unprecedented responsiveness for their clients.

Valmy Avocats was created in 2012 and quickly established a modern and efficient support in all areas of business law.

With the arrival of Maxime Lavayssière, then Margaux Nègre-Carillon, Constance Monod, Géraldine Astrup, and Marie-Laetitia de la Ville-Baugé, the firm has expanded its services through the diversity of skills of its partners who are committed to redefining the lawyer-client relationship around a strong intuitu personae and mutual trust.

Recognized experts in their respective fields, with an excellent knowledge of their markets and players, they all demonstrate creativity and technicality to offer adequate and precise solutions, with a personalized and attentive service.

GERALDINE
ASTRUP

“I listen to my clients' problems on the field and help them through crisis situations by proposing appropriate technical solutions to get through this turbulent phase together”.

Géraldine Astrup advises debtors, investors, shareholders and creditors in the context of amicable proceedings (ad hoc mandates or conciliations) or judicial proceedings (safeguards, reorganizations or liquidations) aimed at corporate crisis situations.

Its clients are mainly small and medium-sized companies or institutions, active in the services, industrial, tourism or retail sectors.

She also advises French and foreign investors (family offices, investment funds) in the context of their takeover projects or the sale of distressed companies: this covers asset takeovers under a "court-ordered" sale plan, prepack sale operations, acquisitions of underperforming companies, sale of distressed subsidiaries... Finally, she has developed an expertise in advising start-ups and their shareholders (in the tech, health and mobility sectors for example).

Her practice covers both advisory and commercial litigation (liability of directors or shareholders, enforcement of covenants, protective measures, enforcement or release of securities, conflicts between partners, etc.).

Géraldine Astrup began her career in various international law firms where she worked for more than 10 years and where she was able to develop a strong expertise in restructurings, before founding her own firm and later setting up the Restructuring practice of Valmy.

She is president of the Association des Jeunes Professionnels du Restructuring (AJR), and founder of the Elles & Droit network. She is also a member of the Association pour le Retournement des Entreprises (ARE) and Women in Restructuring (WIR).

Maxime Lavayssière

LAVAYSSIERE

Trained in prestigious business law firms in Paris, Maxime Lavayssière specializes in business law with a particular focus in renewable energy projects. As a young lawyer, Maxime Lavayssière developed his legal skills while becoming an expert in this rapidly developing sector. He advises companies in the negotiation and drafting of transactional documentation for the acquisition and financing of projects. Driven by the desire to find the best solutions for his clients, Maxime Lavayssière cherishes the ties that bind them and the ideas that emerge from this synergy.     
 

He joined Valmy Avocats in 2017 and became the firm's third partner.

BARTHELEMY
LEMIALE

A founding member of the Valmy law firm, Barthélemy Lemiale chose to study private international law during his studies.

 

Bold and adventurous, he declined an offer to become associate to follow instead an experimental program at the Cour de Cassation alongside experienced magistrates who trusted him. He then worked for five years as an associate at Lussan & Associés, where he handled major business law cases. An entrepreneur at heart, Barthélemy Lemiale decided to set up his own firm and naturally joined forces with Julien Vandromme, a colleague and friend with whom he used to work. Barthélemy Lemiale intervenes in business litigation and real estate law, within the framework of complex litigation, while developing a deontological expertise. Expert at the Conseil National des Barreaux since 2015, then elected member of the Paris Conseil de l'Ordre (2020-2022), he cultivates his taste for challenge and seeks - through the responsibilities he exercises - to increase not only his knowledge but also to be at the heart of the changes in the profession. In parallel of his activity as a lawyer, Barthélemy Lemiale founded and then sold two start-ups offering legal services in Blockchain. Since 2014, he has been the editor of the "Vos Droits" column in the monthly review Capital.

MONOD

Initially trained in business law in a law firm, Constance Monod later managed the business litigation department of Duval-Stalla & Associés for five years. This dual expertise enables her to assist her clients, mainly companies (SMEs and institutions), in the management of their day-to-day and operational affairs and to defend them in case of litigation. Versatile, rigorous and efficient, Constance Monod advises clients on their commercial partnerships, brand portfolio management and also intervenes in multimedia and IT law (digital communication, e-commerce, e-reputation). Her transversal vision of companies allows her to manage, in commercial matters, almost all the problems of her clients with whom she maintains a relationship of trust.

 

She joined Valmy in 2020 to become the firm’s fifth partner.

MARGAUX
NÈGRE-CARILLON

“I dedicate my daily life to admiring, valuing and protecting creation”.

 

Rigorous and aesthetic at heart, Margaux Nègre-Carillon has always wanted to combine her two passions: law and creation. As soon as she graduated from the prestigious Master's degree in Literary, Artistic and Industrial Property directed by Professor Pierre-Yves Gautier at Assas, she was hired by the Escande law firm and then by the Candé-Blanchard-Ducamp law firm, where she mainly worked in English for major names in fashion. Over the years, for a very prestigious and demanding clientele, she has worked in the field, pleaded before civil, commercial and criminal courts and trained French customs officers on the authenticity of products and the legal basis of their interventions. Fashion, media and telecommunications, e-retail and connected commerce, furniture, plastic arts, entertainment, automotive, wines and spirits are some of the sectors for which Margaux Nègre-Carillon intervenes in copyright law, trademark law, design law, unfair competition... Also, she advises and accompanies young creators in their entrepreneurial projects to make them aware of their various intellectual property rights. 

 

In 2019, she joined Valmy as a partner and opened the firm’s intellectual property law department.

VANDROMME

Co-founder of Valmy, Julien Vandromme is passionate about the law, which he considers to be at the heart of society.

 

A bon vivant, this outstanding negotiator in business law considers that the relationship with the client is crucial from all points of view. This is why he joined Barthélemy Lemiale in 2012 with the ambition to handle his cases differently. Valmy Avocats is a joint venture in which the two partners wish to relax the hierarchy, communicate more effectively, while dusting off the relationship between lawyers and clients. A diplomat and fine strategist, Julien Vandromme advises on corporate, commercial and real estate law. He has also developed expertise in private equity and mergers and acquisitions.

Marie-Laetitia accompanies her clients, major private operators, in their projects for the creation and development of industrial sites or infrastructures (in particular transport and leisure) thanks to her mastery of the procedures prescribed by the code of the environment and Administrative Litigation. In partnership with the technical and operational teams, legal support for projects enables critical and structuring legal issues to be mastered as far upstream as possible. This anticipation makes it possible to improve projects and avoid pitfalls in the investigation and litigation phases.

She regularly works on the environmental aspects of mergers and acquisitions or real estate transactions.

His competence has been repeatedly recognized by Chambers and Legal 500.

Valmy Avocats offers its clients (institutions, SMEs, entrepreneurs and investors) cross-functional support, both in advisory capacity and in litigation, in all areas related to business law and corporate life.
